    Don't mean to double post but I found out what the issue was.... Whenever I would download something through transmission above roughly 2.2mbps it would KP - So i set a global limit to 2.0mbps and not one kernel panic yet! Hope this helps anyone who was having trouble! Thanks, Kukag

I just disabled the option to display the speed of download & upload on the icon in the dock and bam, everything finished downloading fine, and for some reason - transferring files of lan is working as well.     Hes correct, to run in dual channel mode you must have your ram sticks in usually slots 1/3, althought some motherboards do have it setup as slots 1 / 2 / 3 / 4, where 1 / 2 - 3 / 4 will run in dual channel.
