well im trying to install macOS sierra on my pc:
INTEL I5 4690
ASUS H81m-a
GTX 750Ti
my bios settings:
csm disabled
vt-d disabled
intel virtual disabled
tried some other boot flags but nope...

Please add -v to boot flags for a verbose boot and to take a screen capture image to upload when you are getting the KP to post here along with all the chosen Boot flags at that booting.

From the CSM disabled BIOS choice you have listed, I assume you are booting a Sierra Install disk created for UEFI mode booting.

yes im booting from UEFI...
all the boot flags giving the KP no matter what...
when im putting -v its says something with boot.efi and still got kernel panic...

As far as I could read your posted verbose boot image, I believe you have a defective macOSSierra USB Installer disk.
Please follow this guide UniBeast: Install macOS Sierra on Any Supported Intel-based PC EXACTLY as shown step-by-step to create the disk:
